DFCU bank is a fast growing commercial bank offering a variety of innovative products and services. DFCU Limited was started by the Commonwealth Development Corporation (CDC) of the United Kingdom and the Government of Uganda through the Uganda Development Corporation (UDC) under the name of Development Finance Company of Uganda Limited. Later restructuring brought in DEG (of Germany) and International Finance Corporation (IFC) as equal partners with CDC and UDC, each having a 25% stake in the company. Its objective was to support long-term development projects whose financing needs and risk did not appeal to the then existing financial commercial lending institutions.
Job Summary: The Documentation & Securities Manager will oversee the securities and documentation function including preparation of sanctioned complex deals with unique and non-standard terms and conditions in compliance with all legal, financial and credit requirements to protect the Bank from any loopholes arising from poor documentation.
Key Duties and Responsibilities:
Preparation of documents for non-standardized deals that involve unique terms and conditions with huge exposures of over USD 200,000 to ensure timely preparation of the legal documentation that are water tight and enforceable in courts of law in case of default.
Review complex credit files and documents prepared by the Documentation and Securities Officer and the Legal clerk for accuracy for the non-complex deals, bids securities, releases etc., to ensure Know Your Customer (KYC) compliance which enhances prevention of Bank fraud, and confirm accuracy of executed legal documents received from the business streams
Guide and train the business team in respect to the documentation that they are handling to enable them appreciate issues that arise from time to time and adequately handle clients concerns without having to revert to the team.
The jobholder will verify and confirm security perfection for purposes of recommending disbursement before draw down of facilities and through this, prevent and manage losses arising from exposure of the Asset book.
Conduct quarterly security file audit / review to ensure that the Bank’s interests are properly protected to prevent likely losses and or litigation that could arise exposures.
Keenly monitor the external lawyers to ensure timely perfection of securities as per their SLAs, closely monitoring and facilitating the movement between the business units and Bank lawyers to ensure that the desired performance is achieved and that the bottom-line is achieved including disbursement and security perfection.
Ensure reconciliation of the legal fees account on a monthly basis to avoid fraud and loss to the Bank and eventually authorize payments to external counsel for registration services and ensure their accounts are credited and invoiced promptly.
Ensure timely term lease extensions and rectification of all other securities’ deficiencies.
Qualifications, Skills and Experience:
The applicant for the DFCU Documentation & Securities Manager job opportunity must hold a University Law Degree.
Possession of a postgraduate Diploma in Legal Practice.
A minimum of four years of banking experience or two years in handling documentation for large corporate /wholesale deals.
In-depth knowledge of the principles governing Banking & Corporate Law, Land Law, Mortgages and Leasing, among others.
Bank Credit policies
Underwriting standards and good working knowledge of the operations of other departments
Broad knowledge of Consumer Banking and DIB lending will be an added advantage.
Effective communication, good interpersonal and research skills.
Self-motivation, result orientation with ability to make appropriate decisions as and when required.
Computer literacy skills
Good supervisory and management skills
